Not in (Asia) Private: Court supervision of a solvent voluntary liquidation

The Grand Court’s recent decision in Re Asia Private Credit Fund Limited (In Voluntary Liquidation) (unreported, 19 March 2019) considered a successful application under section 131 of the Companies Law to bring the voluntary liquidation of a company under the Court’s supervision notwithstanding the company’s solvency.

Cayman Islands Grand Court looks to the wishes of creditors in the choice of liquidators for Insolvent Companies

In the recent case of Alpha Re, the Chief Justice set out the principles to be applied in the event of dispute over the identity of liquidators to be appointed by the Court in a compulsory or Court supervised liquidation - in this case, a Cayman company moving from voluntary liquidation under insolvency practitioners into Court supervised liquidation.

This is not a wind up: BVI court approves restructuring provisional liquidation

In a major development in BVI insolvency law and practice, the BVI Commercial Court has held in the case of Constellation Overseas Limited and 5 others (BVIHC (Com) 2018/0206 – 2012) that provisional liquidation is available to facilitate a restructuring. The decision brings the BVI broadly into line with Cayman and Bermuda, where restructuring provisional liquidations have been used to support a number of landmark cross-border restructurings in recent years.

Jurisdictional challenge in the appointment of provisional liquidators

In Re China Taifeng Beddings Holding Limited, Mr Justice Harris of the Companies Court in Hong Kong, concerned with the question of jurisdiction, adjourned an application by a Cayman Islands – incorporated company for the appointment of provisional liquidators, despite finding that a meritorious case had been made out for the appointment.
