Biography

Paul Goss is a member of the Litigation & Insolvency team in our London office. He specialises in multi-jurisdictional, contentious and non-contentious restructuring and insolvency work, as well as international disputes and enforcement of rights and information gathering.

Paul advises on all formal appointments of insolvency officeholders in Bermuda, the Cayman Islands, and the British Virgin Islands. He advises secured and unsecured creditors, debtors, private equity and hedge funds, shareholders, investors, and other stakeholders on various insolvency, restructuring, and litigation-related matters.

Paul advises on all formal appointments of insolvency officeholders in Bermuda, the Cayman Islands, and the British Virgin Islands. He advises secured and unsecured creditors, debtors, private equity and hedge funds, shareholders, investors, and other stakeholders on various insolvency, restructuring, and litigation-related matters.

He has significant experience in cross-border restructuring and litigation matters, having worked on numerous high-profile multi-jurisdictional restructurings and disputes involving Africa, the Middle East, South America, South East Asia (with a specific emphasis on PRC), India, Kazakhstan, Russia, and Ukraine across multiple sectors including crypto, financial services, oil and gas, mining, renewable energy, shipping and agriculture.

Paul has contributed to several publications, including International Corporate Rescue and Global Restructuring Review. He is also a member of the Recovery and Insolvency Specialists Association (Cayman) Limited and INSOL International.

Before joining Harneys in 2023, Paul worked at another major offshore law firm in Hong Kong, London, and the Cayman Islands.

Insolvency & Restructuring

  • Advising Joint Provisional Liquidators (JPLs) on the restructuring of a Bermuda life insurance company, including securing a landmark extra-territorial order for private examination of a director under Section 195 of the Bermuda Companies Act.
  • Advising a general partner (GP) of a Cayman Islands exempted limited partnership on their obligations as the voluntary liquidator and then as regards all aspects of the fund's wind-down, including the contemplated sales process, communication with limited partners and responding to an application under the Exempted Limited Partnership Act to replace the GP as a voluntary liquidator.
  • Advising JPLs in respect of the provisional liquidation of a listed long-term Bermuda insurance company, including advising on claims available to the JPLs to bring on behalf of the insolvent company or in their own names. Such advice required Paul to consider issues of, amongst other matters, Bermuda byelaw indemnity provisions, the creditor rule as articulated in BTI V Sequana and the application (or not) of a D&O policy.
  • Advising Cayman Islands joint official liquidators (JOLs) to assist with claims against a former director and professional services firm that, it is alleged, defrauded the company.
  • Advising a Cayman Islands general partner in respect of a dispute between the limited partners of the exempted limited partnership and the general partner.
  • Advising the manager of a BVI regulated fund as regards the distribution of funds to an untraceable shareholder and thereafter assisting in placing the company into an insolvency process.

Asset Recovery & Disputes

  • Providing BVI advice to an investor in relation to a complaint made against its Forex business by one of its clients.
  • Providing an expert opinion on BVI law in support of South Korean insolvency proceedings against a Crypto exchange refusing to honour payments due to investors where concerns of fraud are involved.
  • Providing Bermuda law advice and acting as Bermuda local counsel in respect of matters relating to and the recovery of assets held under a Nominee Indemnity Agreement as regards a Bermuda incorporated company.
